The permitted purpose is evaluating a potential engineering, design, or commercial collaboration concerning TYRVAQ for the particular review described in an individualized invitation. Covered materials are only the document titles, immutable versions, and demonstrations listed in the review manifest. No manufacturing, commercialization, or model training is authorized by access alone.
Recipients use confidential information only for the approved purpose, safeguard it with reasonable care, do not share credentials or private links, and do not upload confidential material to external AI assistants, transcription bots, model-training systems, public repositories, or other third-party tools without written approval.
Without prior written permission identifying the scope, recipients will not take screenshots, photograph, screen-record, audio-record, livestream, screen-share, transcribe, download, print, scrape, or otherwise reproduce covered materials or private demonstrations.
Private review access is proposed for 30 calendar days unless revoked earlier. Confidentiality and use restrictions are proposed for three years from each disclosure, with trade-secret obligations continuing while the material legally remains a trade secret. On request or termination, covered material and unauthorized copies should be returned or deleted within the stated review terms, subject to lawful preservation.
Nothing in the agreement should prohibit legally protected reporting, communications with counsel, or required disclosures. Legally compelled disclosure should be limited to what is required, with notice when legally permitted.
